Your vendor risk program asks about security controls, financial stability, and compliance history. It does not ask what the vendor’s AI is deciding on your behalf. This is a risk that is not asked, and not hidden. Most organizations aren’t failing at AI vendor governance. They haven’t started. They’re tackling it from a procurement standpoint, which means better questions, firmer agreements, and modernized security checks. That’s not wrong. It’s just downstream of a question nobody has answered yet: Which AI-driven decisions in your business actually matter? A vendor running an LLM inside your HR platform looks completely different depending on what that system does. If it automates interview scheduling, that’s one conversation. A system that scores candidates prior to human review introduces a distinct risk category, a separate governance requirement, and possibly different legal ramifications. You can’t classify vendor risk without a strategy baseline that tells you which AI decisions are consequential in your specific context. Without that, you’re building a governance layer on top of nothing. Most mid-market organizations are in that position right now. Trying to govern third-party AI risk before they’ve defined what risk means for their business. That’s a strategy gap governance is being asked to cover and not a vendor issue. So, I've been chatting with colleagues recently about AI adoption. The hot topic was AI governance. I’m learning that most organizations are treating it like a compliance checklist. Legal or HR writes a policy, people get notified, and it’s filed away. Check the box, maybe consider some change management activities, and then move on. This tech is soon ubiquitous and paradigm-shifting; to treat it like a ‘use of hardware’ policy. There's a better way. AI governance isn't a legal or compliance function. It's an organizational design problem. Treating it that way changes everything. Think about how other governance structures work. The board sets the risk boundaries. The C-suite and Chief Risk Officer own the strategy. Middle managers put policy into practice through purchasing decisions, deployment, and vendor relationships. Frontline teams report what's actually breaking down on the ground. That structure exists for good reason. AI governance needs the same setup, just with more authority behind it, stronger controls over model risk, and clear accountability for how decisions made by AI systems get explained, challenged, and corrected. That authority has to cover which AI models get approved, how data gets used, how bias gets caught and corrected, how incidents get handled, and how you stay compliant across different regulatory environments. The EU AI Act, US state laws, ISO 42001 (links below) — none of this is going away. The only question is whether you're ready for it. No governance structure yet? Start small. List your current AI use cases. Pull together a working group across legal, IT, HR, and operations. Pick an existing framework — NIST AI RMF or ISO 42001 — and build from there. AI Agents Are Coming Fast. But So Are The Risks. Many businesses are rushing to deploy AI agents into customer service, finance, operations, HR, marketing and decision-making processes. The productivity gains are real. But so are the risks. An AI agent can now: 1. Access systems 2. Make recommendations 3. Trigger workflows 4. Send communications 5. Analyse financial data 6. Interact with customers 7. Influence decisions without human intervention That creates a new level of operational, financial and governance risk. Business owners and directors need to ask: 1. Who is supervising the AI agent? 2. What access permissions has it been given? 3. Can it approve payments or transactions? 4. What happens if it makes a mistake? 5. Is there an audit trail? 6. How is confidential data protected? 7. What if staff rely on incorrect AI-generated advice? 8. Is the AI aligned with your policies and legal obligations? The greatest danger is not malicious AI. It is overconfidence and poor governance. Precautions every company should consider: 1. Start with controlled pilot programs 2. Restrict system access and permissions 3. Keep humans in approval loops for key decisions 4. Implement strong cybersecurity and MFA 5. Create AI governance and usage policies 6. Train staff on AI risks and limitations 7. Monitor outputs and maintain audit logs 8. Stress test AI-driven processes 9. Review insurance and liability exposure 10. Ensure board oversight and regular reporting Directors should remember that deploying AI does not remove their legal responsibilities. Good management, governance and controls still matter. AI can become an extraordinary competitive advantage for businesses that deploy it wisely and safely. The businesses that survive and thrive will not necessarily be the first to adopt AI. Most vendor due diligence workflows are not designed for AI risk. Traditional reviews usually focus on security questionnaires, privacy clauses, certifications, and uptime commitments. But AI vendors introduce additional concerns such as bias testing, data provenance, explainability, model monitoring, and the need for human oversight in higher-impact use cases. That is where many teams get stuck. They apply old third-party review logic to a new category of risk. ISO 42001 helps shift the conversation from “Does this vendor have controls?” to “How is this AI system governed, monitored, and assigned ownership over time?” For GRC leaders, this is the opportunity. We can move from being the team that slows AI down to the team that helps the business adopt AI with clearer guardrails.

Shadow AI is a quietly treacherous frontier for modern Risk Management AI Governance specialist Bruce Mullan and I chatted last week about productive and secure AI-adoption. And we noted the pattern emerging in some of the AI-related PR disasters splashed across the media. We reckoned it’s not really about the technology itself. It’s really about organisations’ staff adopting AI tools faster than their employers are professionally governing it. This unvetted use is sometimes dubbed ‘Shadow AI’. Bruce relayed to me how one AI tool wiped out a whole production database. I countered with the council AI that started handing out advice that could land business owners on the wrong side of the law. Bruce parried with the recruitment system that discarded women over 55. And the bank replacing humans with voice-bots… then rapidly hiring the humans back after customers got furious! Associated reputation issues are not “AI problems” - they’re governance ones. After our exchange, I jotted down three tenets I felt added value for Orgs grappling with Shadow AI risk: 1. AI needs supervision, not enthusiasm Too many entities see AI tools like productivity software instead of operational decision-makers. If a junior employee made such an assumption, there’d be investigations, ass-kicking and instant retraining. AI deserves robust governance discipline. 2. Stakeholders (incl media) don’t care that ‘the system made the mistake’ Customers, regulators and media will still hold leadership accountable. “The AI got it wrong” is not a reputation shield. In fact, it often makes the organisation sound careless or unprepared. 3. Acute risk starts when AI affects stakeholders unfairly Bad customer advice, biased recruitment decisions, failed service bots, reduced audience support all directly affect trust, fairness and vulnerable people. Injustice fuels negative PR!  The key issue is AI compresses the time between error and PR terror. A poor decision that once affected one customer or one department can now affect thousands of people instantly; which becomes a headline before the organisation even twigs there’s a problem. One of the most common mistakes I see in enterprise AI governance & monitoring initiatives: The CISO gets handed the problem alone. AI risk isn't a security problem. From what Red Vector, Inc. has learned through many year in insider risk, it's an organizational problem that requires security expertise. Privacy ensures the AI isn't autonomously exposing personal data. Legal tracks copyright and contractual exposure from AI-generated outputs. Three different mandates. One unified risk view. ▶️ The Governance Layer — Risk & Compliance, Audit, Ethics They translate technical telemetry into business and regulatory risk. They need the documentation — model cards, bias reports, audit trails — to answer to regulators, boards, and clients. ▶️ The Human Context Layer — HR, Procurement HR provides a critical signal: the risk score of the employee deploying an agent shapes how much autonomy that agent should have. Procurement evaluates vendor AI tools before they ever touch your environment. ▶️ The Sponsors — CAIO, CISO, CRO, CTO, Board They're not buying a security tool. They're buying the organizational ability to say yes to enterprise AI safely — and to prove to regulators and shareholders that governance is REAL, not performative. The organizations that get this right stand up a cross-functional AI Risk Council before their first serious incident. The ones that don't form one afterward, once an incident has occurred. Add a risk adaptive intelligence platform and you have a winning combination for collaboration and success. Five employees. Five good intentions. Five serious risks none visible on any dashboard, audit log, or risk register. 🚨 Under the NDPA 2023, "we didn't know" is not a defence.
