Ocean Tomo curated a portfolio of 20 patent families from the ground up and conducted a detailed analysis of granted US patent claims and prosecution histories to assess claim scope, strength, and enforceability. For innovators, strategically participating in Standards-Setting Organizations (SSOs) can provide early visibility into emerging technologies and help shape standards. However, it also requires disciplined patent disclosure and portfolio management. Standard Essential Patents (SEPs) present both opportunities and constraints for innovators. Declaring SEPs can accelerate licensing and simplify infringement analysis by tying claims directly to published standards. At the same time, SEP ownership entails “Fair, Reasonable, and Non-Discriminatory” (FRAND) obligations, antitrust considerations, and trade-offs in pricing flexibility. Our article explores how innovators can leverage patent and technical expertise to understand SEPs, minimize SEP-related risks, and better manage their SEP intellectual property (IP). In support of their litigation case, a law firm client needed a detailed materials analysis to demonstrate the material composition of the junction between the source/drain and contact regions in a FinFET device. Ocean Tomo, a part of J.S. Held, experts developed a set of tests using a series of Transmission Electron Microscopy (TEM) sections and high-resolution electron energy loss spectroscopy (EELS) line scans and determined the elemental composition of the junction region to sufficient detail to support the client’s patent claims. We were able to demonstrate through reverse engineering that the extremely complex accused product infringed the claimed invention. Held, was retained on behalf of a leading European dining brand to provide independent valuation and advisory services in connection with the Company's liability management exercise (LME) planning and capital raising efforts. The Company operates hundreds of locations across Europe, Asia, and the Middle East. Our approach was comprehensive and multi-disciplinary, spanning three core areas: • IP Valuation: Independent valuation of the Company's brand and operating IP assets, including trademarks, trade dress, recipes, and proprietary operational know-how. The team segmented the IP valuation across distinct revenue channels and geographies to comply with collateral basket size and transaction structuring requirements. The team also delivered an Orderly Liquidation Valuation (OLV) utilizing a Market Approach based on comparable distressed restaurant transactions. • Enterprise Valuation: Simultaneous independent valuation of the Company's business, providing a holistic view alongside the IP analysis. • License Structuring Advisory: Advisory on structuring affiliate licensing transactions arising from the LME, including grant-back of brand and operational IP assets to the operating entities. Ocean Tomo's analysis informed arm's-length pricing of intercompany arrangements, ensuring royalty rates and license terms were defensible under applicable transfer pricing, tax, and valuation standards. Ocean Tomo delivered two independent valuation reports (under both going-concern and liquidation premises) as well as license structuring and royalty rate benchmarking services to the Company and its legal counsel.
