📈On May 19, 2026, the Securities and Exchange Commission issued two proposed rulemakings intended to enhance flexibility for public companies conducting registered offerings and modernize reporting requirements. The proposed amendments would enable a broader range of public companies to access public capital through the more streamlined shelf Registration Statement on Form S-3 (Form S-3), qualify for current well-known seasoned issuer (WKSI) benefits, incorporate information by reference into all Registration Statements on Form S-1, and preempt state “blue sky” securities laws for registered offerings. 🪙On July 18, 2025, Congress enacted the GENIUS Act, establishing the first comprehensive federal regulatory framework for payment stablecoins in the United States. The GENIUS Act provides that PPSIs be treated as financial institutions under the BSA and be subject to all federal laws applicable to financial institutions in the United States relating to economic sanctions, AML, customer identification, and due diligence. On May 1, 2026, the CFPB published a sweeping Final Rule amending Subpart B of Regulation B, which implements the ECOA. ECOA broadly prohibits discrimination in any aspect of a credit transaction on the basis of race, color, religion, national origin, sex, marital status, age (provided the applicant has the capacity to contract), receipt of public assistance income, or the good-faith exercise of rights under the Consumer Credit Protection Act. The Final Rule implements Section 1071 of the Dodd-Frank Wall Street Reform and Consumer Protection Act, which directs the Bureau to require financial institutions to collect and report certain data on applications for credit from small businesses, women-owned businesses, and minority-owned businesses to the CFPB.
