Gilbert + Tobin are proud to have supported AmCham Australia’s recent critical minerals event in Perth. The discussion brought together leaders from industry and government to explore the opportunities and challenges shaping the sector – including policy, processing, infrastructure and ESG – against the backdrop of growing international demand for Western Australia’s critical minerals. Our partner Justin Mannolini 马俊廷 GAICD SF Fin moderated the panel discussion featuring Andrew Penkethman (Ardea Resources Ltd), Sandra McInnes (PLS) and Michele Spencer (Department of Mines, Petroleum and Exploration), following a keynote address from the Hon David Michael MLA and remarks from US Consul General Colleen Altstock. We’re proud to support conversations that help strengthen Australia’s critical minerals sector and its role in global supply chains. Thank you to AmCham Australia for hosting an engaging and insightful discussion.

In this edition of Boardroom Brief, we cover the second edition of Ethics in the Boardroom, jointly published by the Australian Institute of Company Directors and The Ethics Centre, and key governance takeaways from the 10th Australian Governance Summit. In regulatory news, we report on the Australian Prudential Regulation Authority's roadmap for bank capital and liquidity reforms and the Australian Securities and Investments Commission's consultation on enhanced beneficial ownership disclosure for listed entities. In our legal update, we look at ASIC's five-year disqualification of a Victorian director linked to the collapse of Forum Finance Pty Limited and related entities. In Over the Horizon, we consider distress readiness for Australian boards as the Middle East conflict moves from shipping lanes to funding lines. Australia’s Personal Importation Scheme was designed to allow individuals to access therapeutic goods unavailable domestically – not as a commercial pathway for overseas supplement companies to enter the Australian market. Chris Williams and Darcey Christl examines how some overseas supplement sellers are using the Scheme to bypass Australia’s therapeutic goods framework, the growing regulatory focus from the TGA and why this is positive for both responsible businesses and consumers. ‘Dupe culture’ is no longer confined to straightforward counterfeits. Increasingly, retailers are producing products designed to evoke market leaders closely enough to capture their appeal – while seeking to remain distinct enough to avoid legal liability. Rebecca Dunn, Daisy Cullen and Molly Allen examine the rise of the 'lawful-ish' dupe and the challenges it presents for brand owners. The article explores the limits of passing off and misleading conduct claims, the remedial gap that can arise where products are copied after design protection expires, and the growing importance of copyright and trade marks in packaging and applied artwork in protecting products of this type. The piece considers recent Australian decisions while also highlighting the practical steps that businesses can take to better position themselves to respond to copycat products. We’re looking forward to attending the Australian Renewable Energy Zones Conference in Sydney this week. Gilbert + Tobin will be well represented, with Geoff Petersen speaking on Day 1. His session – Regulatory fragmentation in the energy transition: REZ policy as a test case – will explore the shift toward more state-led approaches to energy regulation, and what this means for the delivery of major network and generation projects. Geoff will examine the balance between increased flexibility and the risks of regulatory complexity and uncertainty. Our team attending includes Zac Kerr and Michal Magat.
